Bylaws

ARTICLE I. MEMBERSHIP

Section 1. Membership

Any researcher working in the field of insurance economics is eligible to become a member of the Italian Insurance Economist Association (IIEA). Membership requests may be submitted at any time upon completion of the membership request form. Membership is free of charge, has a duration of five (5) years, and is renewable.

Section 2. Termination of Membership

Members may resign by submitting an email notice of resignation to the Association’s official email address (itainsecon@gmail.com). The Board of Directors reserves the right to terminate membership in cases of misconduct. The IIEA adheres to the American Finance Association (AFA) Code of Professional Conduct.

Section 3. Meetings of the Members

A regular annual meeting of the members shall be held during the annual conference or at another time and place determined by the Board of Directors. Members shall be notified by email at least thirty (30) days prior to the meeting date. Members in good standing present at the meeting shall constitute a quorum.

Section 4. Voting Rights

Each member shall be entitled to one (1) vote on any matter submitted to a vote of the members.

Section 5. Students

Ph.d students may request to become members at any time by completing the membership request form. Student affiliates may be granted privileges as determined by the Board of Directors.


ARTICLE II. BOARD OF DIRECTORS

Section 1. Composition and Tenure

The Board of Directors shall consist of four (4) members. Directors shall serve three (3)-year terms and may be reappointed for one additional consecutive term. To ensure continuity and support the development of the Association during its initial phase, members of the inaugural Board may, on an exceptional basis, be eligible for one additional term beyond the standard limit.

Section 2. Election of Directors

Candidates for the Board of Directors shall be nominated by the current Board and elected by a vote of the membership. Candidates receiving the highest number of votes shall be elected.

In the event of a tie, the outcome shall be decided by a vote of the Board of Directors. If the Board vote results in a tie, the outcome shall be determined by lot.

Section 3. Responsibilities of the Board

The Board of Directors shall be responsible for selecting the locations and organizers of annual conferences and for managing the general affairs of the Association. Directors shall serve without compensation. No director shall be personally liable for any debts, liabilities, or obligations of the Association.
